These Terms of Service ("Terms") govern your access to and use of the Akroni platform, services, and website (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. License to use the Services
Subject to your compliance with these Terms and any applicable order form, Akroni grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes.
2. Accounts
Certain features require an Akroni account. You agree to provide accurate, current, and complete information at registration and to keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.
3. Acceptable use
You agree not to:
- reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services;
- use the Services to violate any law, regulation, or third-party right;
- interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems;
- use the Services to develop a product or service that competes with the Services; or
- upload or transmit malicious code, or use the Services to harm others.
4. Customer Data
You retain all rights, title, and interest in and to data you submit to the Services ("Customer Data"). You grant Akroni a worldwide, non-exclusive license to use, host, process, and transmit Customer Data solely to provide and improve the Services and as otherwise permitted under these Terms.
Akroni's handling of personal data is described in the Privacy Policy and, where applicable, governed by a separate Data Processing Addendum (DPA).
5. Confidentiality
Each party agrees to protect the other's Confidential Information with the same degree of care it uses for its own Confidential Information of similar importance, and in no event less than reasonable care, and to use it solely to perform under these Terms.
6. Intellectual property
Akroni and its licensors retain all rights, title, and interest in and to the Services, including all underlying technology and intellectual property rights. No rights are granted to you other than as expressly set forth in these Terms.
7. Fees
Where the Services are offered on a paid basis, fees and payment terms are set forth in the applicable order form or subscription plan. Unless stated otherwise, fees are non-refundable and exclude taxes, which you are responsible for paying.
8. Warranties and disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, except as expressly set forth in a written agreement between you and Akroni. Akroni disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, Akroni's total cumulative liability arising out of or relating to these Terms or the Services shall not exceed the fees paid by you to Akroni in the twelve (12) months preceding the event giving rise to the claim. In no event shall Akroni be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, or data.
10. Indemnification
You agree to indemnify, defend, and hold harmless Akroni and its affiliates from and against any third-party claims arising out of your breach of these Terms, your use of the Services in violation of law, or your infringement of any third-party right.
11. Term and termination
These Terms remain in effect until terminated. Akroni may suspend or terminate your access to the Services at any time if you breach these Terms. Sections that by their nature should survive termination will survive (including IP, confidentiality, warranty disclaimers, limitations of liability, and governing law).
12. Governing law
These Terms are governed by the laws of [Jurisdiction], without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the courts located in [Jurisdiction], and the parties consent to the personal jurisdiction of those courts.
13. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will post the updated Terms with a new "Last updated" date and, where appropriate, notify you through the Services or by email. Continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
